一、词义转换：

一般情况下，原文的意思只需按照字典的含义，就能准确而地道的把原文翻译成译文。但在个别情况下，译文对于母语的人来说，就会觉得特别别扭。

e.g.

1. consent 同意；（意见等的）一致；赞成

原文： The XX company may establish branch offices inside China and overseas with the consent of the Board and approval from the relevant governmental authorities.

译文：XX公司经同事会决议并经有关政府机关批准可在国内外成立分支机构。

解析：原文的“consent”原意为同意，但是为了符合译入语的表达习惯，改为“决议”。

2. change 改变；交换

原文：Each Party shall have the right to change its legal or authorized representative and shall promptly notify the other Party of such change and the name, position and nationality of its new legal or authorized representative.

参考译文：双方有权撤换其各自的法定代表人或授权代表，并应将法定代表人或授权代表的姓名、职位和国籍及时通知另一方。

解析：原文的“change”原意为改变，但是为了符合译入语的表达习惯，改为“撤换”。

3. Strength 力量；力气；兵力

原文：The purpose of the join venture shall be to utilize the combined technological, management, operational and marketing strengths of the Parties within the approved scope of business of the Company to achieve good economic results and a return on investment satisfactory to the Parties.

参考译文：合营公司的宗旨是结合双方在技术、管理、运营以及营销方面的优势，在合营公司经批准的经营范围内开展业务，以取得良好的经济效益以及令双方满意的投资回报。

解析：原文的“strength”原意为“力量、实力”，但是为了符合译入语的表达习惯，改为“优势”。

二、词义选用

4. Apply to 适用于；适用

原文：Labor Contract Law in China does not apply to the Agreement.

参考译文：我国的《劳动合同法》不适用本协议。

解析：对于刚接触法律翻译的人来说，如果遇到“apply to的翻译，容易翻译为“适用于”，如果翻译为“我国的《劳动合同法》不适用于本协议”，那就会主体对象颠倒，所以翻译为“适用”。

5. As of 自……起；到…时候为止

原文：Termination of this agreement shall cancel, as of the date the termination shall become effective, all orders that may not have been delivered to suppliers.

参考译文：本协议终止时，于终止生效之日起，停止一切尚未交付给供应商的订货。

解析：在此语境中，原文“as of”如果选“自……起”（from the date of termination）的含义，那么就会有歧义，不符合原文的on the date of termination。
